Terms of Service

1. Acceptance of Terms

By accessing or using the Mineral.Locker website and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by Our Landmen LLC, a Wyoming limited liability company ("Company," "we," "us," or "our").

2. Service Description

Mineral.Locker is a records system and Do Not Solicit registry for mineral owners. The Service includes:

• A document vault for storing leases, division orders, royalty stubs, deeds, correspondence, and related mineral records.
• A monthly USPS Certified consolidated mailing to known mineral buyers, listing each registered owner's name as Do Not Solicit.
• On paid plans, active monitoring of public records, generation of customer-signed demand letters when a buyer ignores the registry notice, and identity protection across people-search sites.
• An exportable Counsel-Ready Evidence Package (PDF + structured JSON) compiling every certified mailing, return receipt, buyer reply, and reported event.

Mineral.Locker is software and mail infrastructure. It is not a law firm and does not provide legal advice. Demand letters are drafted from the customer's evidence file and signed by the customer in their own name. Any decision to engage counsel or file a claim is the customer's, with counsel of their choice. We do not guarantee that all solicitation will cease, as buyer compliance is voluntary until a legal claim is pursued by the affected owner.

3. Eligibility

You must be at least 18 years old and a legal owner (or authorized representative of a legal owner) of mineral interests in the United States to use this Service.

4. Account Registration

To use the Service, you must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

5. Subscription and Payment

• Free tier: The Watch tier (document vault and registry listing) is free of charge.
• Paid plans: Owner ($19/month or $190/year) and Family ($49/month or $490/year) plans are offered at the rates published on our pricing page. A-la-carte services (per-buyer demand letter, evidence package export) are billed per action.
• Billing: Paid plans are billed monthly or annually in advance. Payment is processed through our third-party payment provider.
• Founding member rates: Users who reserve during the early access period receive founding member pricing on whichever paid tier they select, guaranteed for the lifetime of a continuous subscription.
• Cancellation: You may cancel a paid plan at any time. Cancellation takes effect at the end of the current billing period and the account reverts to the free Watch tier. No refunds are issued for partial periods.
• Price changes: We may adjust pricing for new subscribers. Existing subscribers retain their rate unless they cancel and re-subscribe.

6. Your Responsibilities

You agree to:

• Provide accurate mineral ownership information.
• Report buyer violations promptly through the Service.
• Not use the Service for fraudulent or unlawful purposes.
• Not misrepresent your mineral ownership or identity.

7. Intellectual Property

All content, design, code, trademarks, and materials on the Mineral.Locker website are owned by Our Landmen LLC or its licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free.
• All mineral buyers will comply with the registry notice.
• Registry notices or demand letters constitute legal orders or injunctions, or that they will result in any specific legal outcome.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LANDMEN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR MINERAL VALUE.

Our total liability for any claim arising from the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Our Landmen LLC, its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.

11. Third-Party Services

The Service integrates with third-party providers, including the United States Postal Service (Certified Mail), print-and-mail vendors used for letter fulfillment, electronic signature services, payment processors, and identity-protection vendors used to remove customer information from people-search sites. We are not responsible for third-party service failures beyond our reasonable control. If you choose to engage an attorney following an Evidence Package export, you contract with and pay that attorney directly; we do not retain or compensate counsel on your behalf.

12. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay, or for any other reason at our discretion. Upon termination, your access to the Service ceases, but suppression records may be retained per our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Brazos County, Texas.

14. Dispute Resolution

Before filing a formal legal claim, you agree to attempt resolution by contacting us in writing. We will make good-faith efforts to resolve disputes within thirty (30) days of receiving notice.

15. Modifications

We may update these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
